LLC Formation Details

A primary purpose of a properly formed LLC is to protect you from individual liability related to your business activities. Our office performs thorough and detailed work to assist you in achieving this standard. Our goals:

  1. To make sure your LLC is properly formed so that it provides protection from individual liability.
  2. To clarify the business relationships between owners to avoid future disputes.
  3. To assist you in developing a working knowledge of how to maintain your LLC in the future.

Our work includes:

  1. Discussing the LLC formation process and the nature and goals of your business with you.
  2. Drafting the Certificate of Formation.
  3. Drafting the Consent to Serve as Registered Agent.
  4. Answering any questions you may have regarding the initial LLC formation documents.
  5. Filing the Certificate of Formation and Consent to Serve as Registered Agent with Washington Secretary of State’s office.
  6. Confirming that your LLC has been formed.
  7. Communicating with your CPA about the tax basis for your LLC.
  8. Communicating with your CPA about the initial capital contribution of each LLC member.
  9. Communicating with you regarding whether the LLC will be managed by one or more managers or by the LLC members.
  10. Communicating with you about your LLC bank account.
  11. Writing a detailed letter of instruction to you about how to follow up to properly maintain your LLC.
  12. Drafting the Call and Waiver of Notice of First Meeting of LLC Members.
  13. Drafting the Minutes of First Meeting of LLC Members.
  14. Drafting a LLC Operating Agreement that meets the specific needs of your business depending on a variety of factors including the tax basis of the business and the management style that you select.
  15. Working with you, as needed, to add buy sell provisions into the Operating Agreement to protect LLC membership interests from being sold or distributed to third parties.
  16. Discussing all follow up LLC documents with you as needed to ensure your knowledge and understanding of the process.
  17. Communicating with your CPA to ensure his or her familiarity with and approval of the Operating Agreement.
  18. Meeting with you to sign: Call and Waiver of Notice of First Meeting of LLC Members; Minutes of First Meeting of LLC Members; and Operating Agreement.
  19. Organizing your LLC Minute Book, and providing the Minute Book to your office for reference.
  20. Being available to answer all questions, and providing on-going representation to conduct future LLC meetings and meeting the other legal needs of your business.
